Receiving and approving the petition of taxpayers requesting the leasing of a new county government center. 00:01:31
And approving a farm of proposed lease and taking other actions related thereto. We have Brad Bingham with us and I'm going to 00:01:39
pass the torch to Brad to tell us what we have here, educate us as part of the process and and how we get from beginning to end. 00:01:48

OK, perfect. As Rick mentioned, this is the first sort of step in the legal process to provide the financing for the county's 00:02:04
acquisition of what we all call the Chase building and for certain improvements and renovations, at least the the first phase, 00:02:10
this financing we're structuring as a as a lease rental financing. And you may be asking well, what's the purpose of that you'll 00:02:16
almost always find. 00:02:23
Counties and other municipalities doing a lease financing for larger capital projects. 00:02:30
And that's because of the constitutional and statutory debt limit that you're faced with. So anytime you have a, you know, long 00:02:35
term kind of borrowing, we try to flip it and structure it as as a lease financing. When you do that, you actually the county goes 00:02:41
and sets up a separate non profit building corporation, which has already been done. And then that entity essentially acts as the 00:02:47
the borrower of the funds, constructs the asset or purchases the property and then leases it back to the to the county at the end 00:02:53
of the financing. 00:02:59
State law, as well as the lease itself, requires that the property and piece of ownership revert back to the county. It's just a 00:03:05
technique we use again for debt limit purposes. And you may say, well, you know, how is it not that? And the reason for that is 00:03:12
that Indiana courts have long said that lease obligations are really current expenditures. And the lease itself is what we call an 00:03:20
abatement lease, so that if the property were ever damaged or destroyed, the county's obligation to pay rent would be abated. 00:03:27
You wouldn't know anything. And so it's for that contingency reason that it's not it's not indebtedness. So really tonight starts 00:03:35
the process and the way it just a quick overview, the way it works is Board of Commissioners, you'll approve a form of the lease 00:03:41
agreement itself which I think Rick has distributed to you all there. There's a building corporation meeting this Thursday 00:03:47
morning. They will also be presented with the form of this lease that we would expect them to approve it as well. It would then be 00:03:53
set before. 00:03:59
The County Council, they're coming next meeting next Tuesday for the fiscal bodies approval and then it comes back to the 00:04:05
commissioners for a public hearing and a confirmation on September 17th. At that point in time the lease could be signed between 00:04:11
the county and the building Corp and then we have to publish a notice of lease execution which which triggers a 30 day period for 00:04:17
review if anyone would request that. 00:04:23
And so the long and short of it is we start the process tonight. If all goes according to plan, we would be able to close in the 00:04:30
financing toward the end of end of October. 00:04:35
Done. This resolution acknowledges that and accepts that that request. It also proves the financing via this this this lease 00:05:10
structure with the term of the lease will not exceed 30 years. Obviously can be much shorter than that, but that's the maximum and 00:05:18
the annual lease rental payment cannot exceed 1,461,000 Again, that's the maximum once you know your actual. 00:05:26
Debt service schedule When you do your permit financing, we we adjust that we we true it up downward to to reflect what the actual 00:05:35
rent would be owed. 00:05:39
It also acknowledges the building corporation has been formed on behalf of the county. 00:05:45
You would approve that there they exist. You ratify their articles for corporation and and their code of bylaws. 00:05:50
Authorized the issuance of bonds, maximum principal amount not to exceed 12,500,000 and pending the issuance of the bonds, it also 00:05:59
authorizes the issuance of bond anticipation notes with the maximum amount of $10,500,000. 00:06:07
At at the end of the financing, as I kind of mentioned earlier, this this acknowledges that the county will accept these simple 00:06:16
ownership of the property once once all the indebtedness goes away the the building Corp essentially at that point its purpose is 00:06:20
fulfilled. 00:06:25
Transverse title to the county. 00:06:30
We are, we are anticipating this the financial structure structured as a bond anticipation note. And the reason for that is, is 00:06:33
sort of twofold 1 is a. 00:06:38
Because as it stands, there's, there's currently certain tenants in that property that have different rights in terms of renewals 00:06:44
and when they'll. So we don't really know when everyone's going to be vacated. 00:06:49
And so and I mentioned that only because when we do bonds for counties, municipalities, you know you prefer to issue those on tax 00:06:56
exempt basis, that's usually the lowest cost of funds. That's the best scenario. But when you have taxes and financing, you can't 00:07:01
have private business use and private payment of the bond finance property. And so as it stands right now we're not quite clear 00:07:07
out of the whole building how much will be governmental use versus versus private use. So over time you'll have a better picture 00:07:13
of how that. 00:07:19
Look, let's say in two years or three years when you want to do your permanent financing. The other reason for a bond anticipation 00:07:26
note is that your community capital fund rate is not its current maximum. And I think in talking to Rick, there's, there's some, 00:07:32
you know, prospect and thinking that it will be increased to the statutory maximum, but it's not current. Well, when in terms of 00:07:38
size and the bond issue, you have to kind of look at the facts as they are right now. You can't just assume a way that that rate 00:07:44
will automatically increase. 00:07:50
And so that, that presents a little bit of a challenge to doing a long term financing today. So the band will allow time for that 00:07:56
kind of work itself out. And then also in the meantime, you just have assessed value. So as assessed value grows, the Q cap fund 00:08:02
rate applied to the AV produces a higher amount of revenue. So that's another reason that would kind of give pause to do the 00:08:08
permit financing now. 00:08:15
When you don't necessarily have to. 00:08:22

Basically in terms of the jurisdiction of solicitation, we deleted a redundant penalty. We added an identification card fee. 00:12:24
Added harassing conduct and defined harassing conduct as a reason to revoke a license. 00:12:35
And we I. 00:12:42
Added that a report from a complaint would not be provided if the complainant requested that their complaint not be provided to 00:12:45
the the company that was doing the solicitation. 00:12:52
The ordinance itself just to review a. 00:13:10
Is an application for a non transferable door to door solicitation license that would come from the Floyd County Commissioners? 00:13:16
If they were soliciting to sell any type of food or beverage, then that matter would be referred to the Floyd County Health 00:13:26

They would be required to fill out vendor application form. There's a whole litany of general information that they're going to 00:13:38
need to complete. We're going to know want to know a lot about the company and what they're doing here in our county. We're also 00:13:45
going to want to know a lot about the individuals that are going door to door here in our county. And so we're going to require 00:13:52
that they provide us a valid government issued photo ID. 00:13:59
An assigned release so our Sheriff's Department can run a nationwide criminal history check on these individuals. 00:14:07
We're going to require an application fee, a license fee, and an identification card fee. The we're going to have a 10 day license 00:14:17
$50, a 120 day license for $150.00, and a one year license for $300. 00:14:24

Processing fee is $250 and the identification card fee is $20 per card and that's the card that they're going to have to carry 00:14:35

It's unlawful to solicit on posted premises, so if individuals have no soliciting here in front of their house, then you can't go 00:15:13
there. And it's also unlawful to solicit without a permit. 00:15:21
In terms of penalties, if we have somebody that's, for example, soliciting without a permit. 00:15:32
They they can be subject to a fine of $100 for each separate offense, up to $1000 a day. So if they've gone to 10 houses or more 00:15:38
in a day without a permit, then that could potentially be a fine up to $1000. 00:15:48

She has over 22 years experience as a professional firefighter. 00:38:12
Apparatus operator, company commander, Battalion Chief medical officer and she is now the executive assistant chief. 00:38:17

FAR is ISO Class 1 rated and out of the many fire departments out there they are considered. 00:38:28
One of 25125 that are considered Class 1. 00:38:39
At Highlander, we have 50 firefighters. 00:38:44

And EMF, that is 20% of the Highlander workforce. 00:38:53

Our current Board of Trustees have had many years of retired firefighting in the Ms. experience. 00:38:59

On August the 26th, on Monday, I attended the Innovation Expo 2024 at IU. There were speakers from Purdue University regarding 00:48:28
innovations and technology related to EV batteries and Von Rush solar lighting. Innovations in solar lighting. 00:48:38
And then on Tuesday the 27th, attendance joint workshop with commissioners and County Council. 00:48:49
And this afternoon we had our monthly stormwater meeting. 00:48:56
August 12th also attended the Planning Commission meeting where we discussed a change to the zoning map which we approved tonight. 00:49:29
Like I said, it does take the multifamily residential off the table once you approve the general commercial. We also discussed a 00:49:36
well head overlay protection district for the Edwardsville Water Corporation. 00:49:43
August 15th the EMS Task Force heard a presentation from Putnam County EMS. We discussed how several our how Putnam County has 00:49:51
changed the face of providing emergency medical services and how they are pioneering the way for the way they build for those 00:49:56
services. It's a model that I would like to see used in Floyd County and we'll be making a presentation at our next EMS Task Force 00:50:02
meeting on the date that has yet to be determined. 00:50:07
On August 19th, I attended an event held by Congresswoman Aaron Houchin. It was a very well attended and I especially enjoyed 00:50:13
meeting Congressman Morgan Latrell and his brother Marcus Luttrell. Those names are probably familiar to most people in this room 00:50:19
as they were both Navy Seals and. 00:50:25
Marcus Luttrell was involved and had a bullet community about his story called Moon Survivor. It was a true honor to meet those 00:50:32

On August 20th, myself, Commissioner Shellenberger, took part on the ongoing Teamsters negotiation and the process is still 00:50:41
ongoing. August 27th I attended the joint Commissioner and Council meeting and finally on August 29th, I met with Terry Herfel, 00:50:48
who is serving as the Acting Chief at Highlander Fire to discuss the future of EMS in Floyd County. And then later that evening I 00:50:54

Receiving and approving the petition of taxpayers requesting the leasing of a new county government center. 00:01:31
And approving a farm of proposed lease and taking other actions related thereto. We have Brad Bingham with us and I'm going to 00:01:39
pass the torch to Brad to tell us what we have here, educate us as part of the process and and how we get from beginning to end. 00:01:48

OK, perfect. As Rick mentioned, this is the first sort of step in the legal process to provide the financing for the county's 00:02:04
acquisition of what we all call the Chase building and for certain improvements and renovations, at least the the first phase, 00:02:10
this financing we're structuring as a as a lease rental financing. And you may be asking well, what's the purpose of that you'll 00:02:16
almost always find. 00:02:23
Counties and other municipalities doing a lease financing for larger capital projects. 00:02:30
And that's because of the constitutional and statutory debt limit that you're faced with. So anytime you have a, you know, long 00:02:35
term kind of borrowing, we try to flip it and structure it as as a lease financing. When you do that, you actually the county goes 00:02:41
and sets up a separate non profit building corporation, which has already been done. And then that entity essentially acts as the 00:02:47
the borrower of the funds, constructs the asset or purchases the property and then leases it back to the to the county at the end 00:02:53
of the financing. 00:02:59
State law, as well as the lease itself, requires that the property and piece of ownership revert back to the county. It's just a 00:03:05
technique we use again for debt limit purposes. And you may say, well, you know, how is it not that? And the reason for that is 00:03:12
that Indiana courts have long said that lease obligations are really current expenditures. And the lease itself is what we call an 00:03:20
abatement lease, so that if the property were ever damaged or destroyed, the county's obligation to pay rent would be abated. 00:03:27
You wouldn't know anything. And so it's for that contingency reason that it's not it's not indebtedness. So really tonight starts 00:03:35
the process and the way it just a quick overview, the way it works is Board of Commissioners, you'll approve a form of the lease 00:03:41
agreement itself which I think Rick has distributed to you all there. There's a building corporation meeting this Thursday 00:03:47
morning. They will also be presented with the form of this lease that we would expect them to approve it as well. It would then be 00:03:53
set before. 00:03:59
The County Council, they're coming next meeting next Tuesday for the fiscal bodies approval and then it comes back to the 00:04:05
commissioners for a public hearing and a confirmation on September 17th. At that point in time the lease could be signed between 00:04:11
the county and the building Corp and then we have to publish a notice of lease execution which which triggers a 30 day period for 00:04:17
review if anyone would request that. 00:04:23
And so the long and short of it is we start the process tonight. If all goes according to plan, we would be able to close in the 00:04:30
financing toward the end of end of October. 00:04:35
Done. This resolution acknowledges that and accepts that that request. It also proves the financing via this this this lease 00:05:10
structure with the term of the lease will not exceed 30 years. Obviously can be much shorter than that, but that's the maximum and 00:05:18
the annual lease rental payment cannot exceed 1,461,000 Again, that's the maximum once you know your actual. 00:05:26
Debt service schedule When you do your permit financing, we we adjust that we we true it up downward to to reflect what the actual 00:05:35
rent would be owed. 00:05:39
It also acknowledges the building corporation has been formed on behalf of the county. 00:05:45
You would approve that there they exist. You ratify their articles for corporation and and their code of bylaws. 00:05:50
Authorized the issuance of bonds, maximum principal amount not to exceed 12,500,000 and pending the issuance of the bonds, it also 00:05:59
authorizes the issuance of bond anticipation notes with the maximum amount of $10,500,000. 00:06:07
At at the end of the financing, as I kind of mentioned earlier, this this acknowledges that the county will accept these simple 00:06:16
ownership of the property once once all the indebtedness goes away the the building Corp essentially at that point its purpose is 00:06:20
fulfilled. 00:06:25
Transverse title to the county. 00:06:30
We are, we are anticipating this the financial structure structured as a bond anticipation note. And the reason for that is, is 00:06:33
sort of twofold 1 is a. 00:06:38
Because as it stands, there's, there's currently certain tenants in that property that have different rights in terms of renewals 00:06:44
and when they'll. So we don't really know when everyone's going to be vacated. 00:06:49
And so and I mentioned that only because when we do bonds for counties, municipalities, you know you prefer to issue those on tax 00:06:56
exempt basis, that's usually the lowest cost of funds. That's the best scenario. But when you have taxes and financing, you can't 00:07:01
have private business use and private payment of the bond finance property. And so as it stands right now we're not quite clear 00:07:07
out of the whole building how much will be governmental use versus versus private use. So over time you'll have a better picture 00:07:13
of how that. 00:07:19
Look, let's say in two years or three years when you want to do your permanent financing. The other reason for a bond anticipation 00:07:26
note is that your community capital fund rate is not its current maximum. And I think in talking to Rick, there's, there's some, 00:07:32
you know, prospect and thinking that it will be increased to the statutory maximum, but it's not current. Well, when in terms of 00:07:38
size and the bond issue, you have to kind of look at the facts as they are right now. You can't just assume a way that that rate 00:07:44
will automatically increase. 00:07:50
And so that, that presents a little bit of a challenge to doing a long term financing today. So the band will allow time for that 00:07:56
kind of work itself out. And then also in the meantime, you just have assessed value. So as assessed value grows, the Q cap fund 00:08:02
rate applied to the AV produces a higher amount of revenue. So that's another reason that would kind of give pause to do the 00:08:08
permit financing now. 00:08:15
When you don't necessarily have to. 00:08:22
I've said a lot. So I'm going to pause right there and and turn it over to that the board pretty questions you may have. 00:08:25

Basically in terms of the jurisdiction of solicitation, we deleted a redundant penalty. We added an identification card fee. 00:12:24
Added harassing conduct and defined harassing conduct as a reason to revoke a license. 00:12:35
And we I. 00:12:42
Added that a report from a complaint would not be provided if the complainant requested that their complaint not be provided to 00:12:45
the the company that was doing the solicitation. 00:12:52
The ordinance itself just to review a. 00:13:10
Is an application for a non transferable door to door solicitation license that would come from the Floyd County Commissioners? 00:13:16
If they were soliciting to sell any type of food or beverage, then that matter would be referred to the Floyd County Health 00:13:26

They would be required to fill out vendor application form. There's a whole litany of general information that they're going to 00:13:38
need to complete. We're going to know want to know a lot about the company and what they're doing here in our county. We're also 00:13:45
going to want to know a lot about the individuals that are going door to door here in our county. And so we're going to require 00:13:52
that they provide us a valid government issued photo ID. 00:13:59
An assigned release so our Sheriff's Department can run a nationwide criminal history check on these individuals. 00:14:07
We're going to require an application fee, a license fee, and an identification card fee. The we're going to have a 10 day license 00:14:17
$50, a 120 day license for $150.00, and a one year license for $300. 00:14:24

Processing fee is $250 and the identification card fee is $20 per card and that's the card that they're going to have to carry 00:14:35

On August the 26th, on Monday, I attended the Innovation Expo 2024 at IU. There were speakers from Purdue University regarding 00:48:28
innovations and technology related to EV batteries and Von Rush solar lighting. Innovations in solar lighting. 00:48:38
And then on Tuesday the 27th, attendance joint workshop with commissioners and County Council. 00:48:49
And this afternoon we had our monthly stormwater meeting. 00:48:56
August 12th also attended the Planning Commission meeting where we discussed a change to the zoning map which we approved tonight. 00:49:29
Like I said, it does take the multifamily residential off the table once you approve the general commercial. We also discussed a 00:49:36
well head overlay protection district for the Edwardsville Water Corporation. 00:49:43
August 15th the EMS Task Force heard a presentation from Putnam County EMS. We discussed how several our how Putnam County has 00:49:51
changed the face of providing emergency medical services and how they are pioneering the way for the way they build for those 00:49:56
services. It's a model that I would like to see used in Floyd County and we'll be making a presentation at our next EMS Task Force 00:50:02
meeting on the date that has yet to be determined. 00:50:07
On August 19th, I attended an event held by Congresswoman Aaron Houchin. It was a very well attended and I especially enjoyed 00:50:13
meeting Congressman Morgan Latrell and his brother Marcus Luttrell. Those names are probably familiar to most people in this room 00:50:19
as they were both Navy Seals and. 00:50:25
Marcus Luttrell was involved and had a bullet community about his story called Moon Survivor. It was a true honor to meet those 00:50:32
both of those people. 00:50:36
On August 20th, myself, Commissioner Shellenberger, took part on the ongoing Teamsters negotiation and the process is still 00:50:41
ongoing. August 27th I attended the joint Commissioner and Council meeting and finally on August 29th, I met with Terry Herfel, 00:50:48
who is serving as the Acting Chief at Highlander Fire to discuss the future of EMS in Floyd County. And then later that evening I 00:50:54
also met with Matt Smith, the Board President, to have the same discussion. 00:51:01
